Internationalization and new Vertec Holding

Until about 2009, Vertec was a purely Swiss software company. There were a few customers outside Switzerland, but they found us more by chance – at least we didn’t look for them. From 2009 on, we tried to attract attention in Germany and found the first customers. The first positive experiences in the German market for ERP and CRM software for service providers prompted us to get off to a good start in 2012: with our own Vertec GmbH in Hamburg and our first employees. In 2018, Vertec GmbH in Vienna was added, and there is also a currently inactive Vertec Solutions Ltd. in the UK.

Vertec in DACH is a success story with very strong customer demand and growth, especially in Germany. In addition, from about 2022, we have also focused on the non-German speaking markets in Europe and have created the prerequisites for success outside DACH with the 6.8 release and the bilingual model and website. In 2026, we gained a valued, first sales partner outside DACH and a first lawyer client in the Netherlands.

The corporate structure of the Vertec group has not really grown with this. The Swiss parent company, Vertec AG, is still both an operating company and also holds the shareholdings in subsidiaries in Germany, Austria and the UK. This structure is increasingly difficult to explain in compliance discussions with authorities or banks.

We have decided to unbundle and separate the operating business in Switzerland from the holdings. The current Vertec AG will be transformed from the parent company into a holding company with the name Vertec Group AG. The operating business in Switzerland will be transferred to a newly founded Vertec (Schweiz) AG (CHE-330.859.112), which will, however, be renamed Vertec AG as part of the renamings. The transfer will take place under the terms of the Swiss Merger Act (FusG) as an “asset transfer”.

What is changing for customers, suppliers and partners?

• Do you have a contract with Vertec AG in Switzerland? This will be transferred to the new operating company in Switzerland, which will then be called Vertec AG again. However, the bank details and the VAT number will change from around mid-November. Apart from that, nothing changes for you as our customer.
• Do you have a contract with a Vertec company outside Switzerland? Nothing changes at all, even for these Vertec companies, the owner remains Vertec AG, renamed Vertec Group AG.
